Emmanuel KAEPPELIN is co-leader of the « Company law – Mergers & acquisitions – Contract law » department.

In addition to classic company law activities (general corporate law and legal follow-up), he has developed acknowledged expertise in in the following areas:

- Business transaction and acquisition due diligence (acquisition on behalf of French and international groups);

- Legal restructuring and private equity (LBO, MBO, mergers, spin off, contributions in kind, shareholders agreements);

- Advice to foreign and French groups (incorporation of legal structures, tax structuring and joint venture);

- Drafting of commercial contracts (distributorship agreements, commercial agency, toll manufacturing agreements, general terms and conditions of sale, loan agreement, facilities, etc.);

- Infrastructure Project finance (real estate, photovoltaic sector, industry, etc.);

- Merger control procedures (notifications of acquisitions to the European and French merger control authorities).


He has developed specific experience in the renewable energy business (wind farms, photovoltaic plants, hydro plants, etc.), professional real estate (structuring of real estate programs) and leisure (hotel and tour operator business).

He has a daily practice of legal English.

Emmanuel KAEPPELIN is a graduate of the University Jean Moulin Lyon III. He has a DESS in Business Law and Tax and a Business Lawyer Master (DJCE); he is also specialized in corporate law.

He began his legal career in 1999 with the « Corporate finance – Mergers & acquisitions » department of Reed Smith law firm in Philadelphia.

He then was an associate in various law firms, before joining the Lyon office of DELSOL Avocats, where he became of counsel.

He was during more than 3 years the company secretary of a well-known Scandinavian group active in the leisure business, in charge more particularly of financial issues, real estate and business development.

Emmanuel KAEPPELIN is a board member of the Trans European Law Firms Alliance (TELFA).

Emmanuel KAEPPELIN is also visiting lecturer at the Lyon Bar School.
